Terms of Service

Important: These Terms of Service constitute a legally binding agreement between you and SPQL. Please read them carefully before accepting membership.
1. Acceptance of Terms
1.1 Agreement to Terms
By completing the 6-step onboarding process, checking the "I Accept the Terms of Service" box, and using the SPQL platform, you agree to be bound by:
- These Terms of Service
- Our Privacy Policy
- The internal SPQL Statutes (provided during onboarding)
- All applicable laws and regulations
1.2 Eligibility
You must meet the following requirements to use this platform:
- Age: You must be at least 18 years old
- Legal Capacity: You must have the legal authority to enter into contracts
- Accuracy: All information you provide must be accurate and truthful
- Compliance: You must comply with all applicable laws in your jurisdiction
1.3 Application Process
Membership is selective and requires:
- Completion of 6-step onboarding including psychological assessment
- Review and approval by the Supreme Council
- Acceptance may be denied without explanation
- No refund of application fees if denied
2. Meritocratic Organizational Structure
2.1 Founding Principles
SPQL operates as a meritocratic organization where:
- Advancement is based on demonstrated competence and contribution
- Authority is earned through merit, not purchased or inherited
- Decisions are made democratically with weighted voting
- Transparency and accountability are paramount
2.2 Not a Traditional Organization
Important Notice: SPQL is not a traditional company, association, or charity. It is an experimental meritocratic governance structure. By joining, you acknowledge that:
- Organizational structures and rules may evolve
- There is no guarantee of return on dues paid
- Participation is voluntary and may be terminated by either party
- Benefits are based on contribution, not entitlement
3. Ranks & Progression (Pakāpes)
3.1 Rank Structure
The organization operates with a hierarchical rank system:
- Jaunbiedrs (Junior Member) - 0 points required
- Biedrs (Member) - 200 points required
- Vecbiedrs (Senior Member) - 500 points required
- Padomes loceklis (Council Member) - 1,000 points required
- Goda biedrs (Honorary Member) - 2,000 points required
3.2 Contribution Score Calculation
Your rank is determined by a transparent contribution scoring system:
- Tasks completed: 10 points each
- Votes cast: 5 points each
- Projects led: 50 points each
- Projects participated in: 25 points each
- Peer endorsements received: 15 points each
- Tenure: 2 points per month
- Time logged: 0.5 points per hour
3.3 Rank Promotion & Demotion
- Promotion: Automatic eligibility when points threshold is met; formal ceremony required by Council
- Peer Endorsements: Members may endorse others for promotion (weight varies by endorser's rank)
- Demotion: May occur due to inactivity (>6 months), code of conduct violations, or Supreme Council decision
- Appeals: Demotion decisions may be appealed to the full Council
4. Ministry System & Assignments
4.1 Ministry Affiliations
Members are assigned to one of 13 ministries based on:
- Psychological profile (6 dimensions)
- MBTI personality type
- Stated preferences
- Organizational needs
4.2 Ministry Responsibilities
- Active participation in ministry meetings
- Completion of assigned tasks within deadlines
- Collaboration with ministry team members
- Contribution to ministry goals and projects
4.3 Ministry Transfer
You may request transfer to another ministry:
- Minimum tenure of 6 months in current ministry
- Approval required from both ministry leaders
- Contribution score may be affected by transfers
5. Financial Obligations
5.1 Membership Dues
Monthly Dues: €40 per month (subject to change by Council vote)
- Payment Schedule: Due on the 1st of each month
- Grace Period: 15 days before suspension
- Methods Accepted: Bank transfer, cryptocurrency (privacy-respecting payment methods encouraged)
- Currency: EUR (other currencies accepted at current exchange rate)
5.2 Payment Anonymity
We support and encourage the use of privacy-respecting payment methods:
- Cryptocurrency (Monero, Bitcoin)
- Privacy.com virtual cards
- Cash (for in-person events)
5.3 Non-Payment Consequences
- Day 16: Account suspended (cannot vote, view sensitive data)
- Day 30: Ministry reassignment may occur
- Day 60: Membership termination and data deletion process begins
- Reactivation: Payment of all arrears required + €20 reactivation fee
5.4 Refund Policy
- Monthly Dues: Non-refundable once paid
- Exception: Prorated refund if organization dissolves mid-month
- Voluntary Departure: No refund for current month
6. Democratic Participation & Voting
6.1 Voting Rights
All members in good standing (dues current, not suspended) have voting rights:
- One person, one vote on most matters
- Weighted voting: Some strategic decisions weighted by rank (max 2x weight for highest rank)
- Quorum: 60% of eligible voters must participate for vote validity
6.2 Vote Types
- Simple Majority: Routine decisions (>50%)
- Supermajority: Structural changes, statute amendments (>66%)
- Unanimous: Constitutional changes, dissolution (100%)
6.3 Voting Conduct
You agree to:
- Vote in good faith based on organizational interests
- Not sell or trade your vote
- Not collude to manipulate voting outcomes
- Maintain confidentiality of vote results when required
6.4 Audit Trail
Notice: All voting actions are permanently logged in the Audit Trail including your member ID, vote choice, and timestamp (IP address anonymized). This ensures accountability and prevents vote manipulation.
7. Code of Conduct
7.1 Expected Behavior
Members must:
- Treat all members with respect and dignity
- Communicate professionally and constructively
- Honor commitments and deadlines
- Maintain confidentiality of sensitive organizational information
- Act in the best interests of the organization
- Report violations of this code promptly
7.2 Prohibited Conduct
The following behaviors are strictly forbidden:
- Harassment, discrimination, or bullying of any kind
- Sharing of private member information without consent
- Attempting to bypass permission controls or security measures
- Vote manipulation or fraud
- Financial fraud or misrepresentation
- Impersonation of other members or officials
- Deliberate sabotage of projects or systems
- Disclosure of confidential organizational information to non-members
7.3 Enforcement & Sanctions
Violations may result in:
- Warning: First offense, minor violations
- Temporary Suspension: 7-30 days, voting rights revoked
- Rank Demotion: Serious violations affecting trust
- Permanent Expulsion: Severe violations, fraud, harassment
All disciplinary actions are subject to appeal to the Supreme Council.
8. Intellectual Property
8.1 Organizational Ownership
The following are collective property of SPQL:
- Strategic plans and organizational documents
- Ministry workspaces and collaborative work product
- Internal tools, templates, and processes
- Research and analysis commissioned by the organization
8.2 Member Contributions
When you contribute content to SPQL (documents, code, research), you:
- Grant SPQL a perpetual, irrevocable license to use the work
- Retain personal copyright but cannot restrict organizational use
- May not republish sensitive organizational work externally without Council approval
8.3 Personal Work
Work created outside organizational projects remains your property unless:
- It directly relates to SPQL's mission and you were compensated
- It uses confidential organizational resources or information
9. Data & Privacy
9.1 Audit Trail
You acknowledge and agree that:
- All administrative actions are recorded in a permanent Audit Log
- Data access, voting, financial transactions, and profile changes are logged
- IP addresses are anonymized (last octet removed) before storage
- Audit logs are retained for 90 days for security and accountability
- You may view your own audit trail in Settings → Privacy Dashboard
9.2 Privacy Rights
Your privacy rights are detailed in our Privacy Policy. Key rights include:
- Export your complete data (JSON format)
- Delete your account (soft deletion + 90-day retention)
- Withdraw consent for optional data processing
- Object to automated decision-making
10. Account Security
10.1 Your Responsibilities
- Maintain confidentiality of your login credentials
- Use a strong, unique password
- Enable two-factor authentication if available
- Notify [email protected] immediately if you suspect unauthorized access
- Do not share your account with others
10.2 Unauthorized Access
Attempts to bypass security measures, access restricted data, or manipulate the permission matrix will result in:
- Immediate account suspension
- Investigation and audit trail review
- Potential permanent expulsion
- Legal action if applicable
11. Termination
11.1 Voluntary Departure
You may terminate your membership at any time by:
- Using the "Delete My Account" function in Settings
- Emailing [email protected] with termination request
Effect:
- Immediate soft deletion (data anonymized)
- No refund of current month dues
- Hard deletion after 90-day retention period
- Financial records retained for 7 years (legal requirement)
11.2 Involuntary Termination
SPQL reserves the right to terminate your membership for:
- Material breach of these Terms
- Code of conduct violations
- Non-payment of dues (after 60 days)
- Inactivity (no login for 12 months)
- Fraud or misrepresentation
- Legal requirements
11.3 Effect of Termination
- Immediate loss of access to platform
- Loss of voting rights
- Removal from all ministry assignments
- Forfeiture of contribution score and rank
- No refund of dues (unless organization dissolves)
12. Disclaimers & Limitation of Liability
12.1 "As-Is" Service
The SPQL platform is provided "AS-IS" without warranties of any kind, express or implied. We do not guarantee:
- Uninterrupted or error-free service
- Security against all cyber threats
- Specific outcomes from participation
- Compatibility with all devices or browsers
12.2 Limitation of Liability
To the maximum extent permitted by law:
- SPQL is not liable for indirect, incidental, or consequential damages
- Total liability is limited to dues paid in the last 12 months
- We are not responsible for member-to-member disputes
- We are not liable for data loss due to your actions (e.g., account deletion)
12.3 Anonymity & Legal Immunity
Important Notice: We use multiple layers of anonymity and offshore hosting to protect organizational integrity. However, we do NOT guarantee 100% immunity from legal or state-level inquiry. By joining, you acknowledge:
- Participation in a partially anonymous organization carries inherent risks
- Legal authorities may compel disclosure under certain circumstances
- You are responsible for your own legal compliance in your jurisdiction
13. Dispute Resolution
13.1 Internal Resolution
Disputes must first be addressed through:
- Direct communication with involved parties
- Mediation by your ministry leader
- Appeal to Supreme Council if unresolved
13.2 Binding Arbitration
If internal resolution fails, disputes will be resolved through:
- Venue: Iceland (jurisdiction of data hosting)
- Arbitration: Binding arbitration under Icelandic law
- Language: English or Latvian
- Costs: Shared equally unless arbitrator decides otherwise
13.3 Class Action Waiver
You agree to resolve disputes individually and waive the right to participate in class actions, except where prohibited by law.
14. Modifications to Terms
14.1 Right to Modify
SPQL reserves the right to modify these Terms at any time:
- Changes must be approved by Supreme Council vote (supermajority)
- 30 days advance notice for material changes
- Notification via email and platform banner
14.2 Your Options
If you do not agree with modified Terms:
- You may terminate your membership within 30 days
- Prorated refund of current month dues will be provided
- Continued use after notice period constitutes acceptance
15. Miscellaneous
15.1 Entire Agreement
These Terms, together with the Privacy Policy and internal Statutes, constitute the entire agreement between you and SPQL.
15.2 Severability
If any provision is found invalid or unenforceable, the remaining provisions remain in full effect.
15.3 No Waiver
Failure to enforce any right or provision does not constitute a waiver of that right.
15.4 Assignment
You may not transfer or assign your membership without written consent. SPQL may assign these Terms in connection with a merger or sale.
15.5 Force Majeure
Neither party is liable for failure to perform due to circumstances beyond reasonable control (natural disasters, war, government action, etc.).
15.6 Governing Law
These Terms are governed by the laws of Iceland.
